Public offer agreement on charitable donation (assistance)
The text of the agreement set out below, addressed to individuals and / or legal entities, is an official public offer (in accordance with Article 641 of the Civil Code of Ukraine) of the Miras Charitable Foundation, represented by its director-Dmytro V. Kobchenko, who acts on the basis of an order (hereinafter referred to as the Foundation), to conclude an agreement on charitable donation (assistance), under the following conditions:: A public offer (offer) is understood as an opportunity, first of all, for individuals to provide charitable assistance (donation) through the Foundation at their own will and desire.
1. Subject of the Agreement
Charitable assistance (donation) means-free transfer of funds by a Person (benefactor) to the property of the Foundation for subsequent use and achievement of the goals of the Foundation defined by the charter or programs of the Foundation, in accordance with the Law of Ukraine ‘On Charitable Activities and Charitable Organizations’, the charter of the Foundation and the terms of this offer.
By accepting the offer (i.e., accepting the offer by performing actions or transferring funds), the person making the donation (the benefactor) confirms that he / she agrees to all the terms of the offer, understands and agrees with it.
The subject of this Agreement is not direct or indirect profit-making.
2. Rights and bindings of the benefactor
The benefactor undertakes to:
- read the Charter of the charity organization;
- comply with the requirements of this Agreement.
The benefactor has the right to::
- monitor the use of charitable assistance (donations) by the Foundation for its intended purpose, and get acquainted with reports on the provision of charitable assistance posted on the website and official pages.
3. Rights and bindings of the Fund
The Fund undertakes to::
- use the charitable assistance received from the benefactor in accordance with its intended purpose, and in accordance with the requirements of the Charter, the terms of the offer and the current legislation of Ukraine;
- provide, upon request, a report to the benefactor on the donation in accordance with the procedure, terms and form approved by the Foundation based on the requirements of the current legislation of Ukraine.
- at the request of the benefactor, provide any statutory documents of the charitable organization.
The Foundation has the right to use part of the charitable assistance for administrative expenses of the foundation in the amount not exceeding that provided for by the Law of Ukraine ‘On Charitable Activities and Charitable Organizations’.
4. guarantees of charitable assistance
The Foundation undertakes not to allow the donation to be used for any purpose other than that specified in this offer and the Foundation’s statutory activities and programs. The fulfillment of the terms of this offer is not intended to directly or indirectly generate profit.
5. term of charitable assistance implementation
Receiving charitable assistance (donations), funds in the property of the Foundation for subsequent use and achievement of the goals of the Foundation defined by the charter or programs of the Foundation continues until the termination of the foundation’s activities, unless otherwise determined by decisions of its bodies. From the moment of acceptance of the offer, this Agreement is concluded in writing in accordance with Articles 207, 639, 641 and 642 of the Civil Code of Ukraine and Articles 6 and 7 of the Law of Ukraine ‘On Charitable Activities and Charitable Organizations’.
Consent-notification of the collection, processing and use of personal data
The benefactor, the person who accepted this Offer, voluntarily and without compulsion confirms that in accordance with the provisions of the Law of Ukraine’ On Personal Data Protection ‘ gives consent to the other party (the foundation) to process their personal data in order to ensure the implementation of economic relations, tax relations and accounting relations.
The person also confirms that they have been informed about the inclusion of their personal data in the database of personal data of another fund, the actual amount of data transmitted corresponds to the purposes of processing, and the rights of the personal data subject, which are defined in Article 8 of the Law of Ukraine ‘On Personal Data Protection’.
The party to the agreement that has received the personal data of the representative of the other party is obliged to ensure their protection from illegal processing and illegal access to them in accordance with the requirements of Article 24 of the Law of Ukraine ‘On Personal Data Protection’ and other requirements provided for by the current legislation of Ukraine.
This consent notice is valid for an indefinite period.
